Terms of Service

1. Acceptance of Terms

By accessing or using the Vigilance Signal platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you differ with these terms, you may not use the Service. These Terms apply to all visitors, users, and others who access the Service.

2. Description of Service

Vigilance Signal provides Human Risk Management solutions, including phishing simulations and security awareness newsletters.

3. Authorised Use

CRITICAL: You expressly represent and warrant that you have the authority to conduct phishing simulations and disseminate security awareness newsletters on the domains and email addresses you import into the Service.
  • You agree NOT to use the Service to target any individual or organisation without their explicit prior consent.
  • You acknowledge that sending simulated phishing emails to unauthorised recipients may violate local and international cybercrime laws (including the Cybercrimes Act of South Africa).
  • Vigilance Signal reserves the right to suspend any account immediately if we suspect unauthorised use.

4. Accounts and Security

  • You are responsible for maintaining the security of your account and password.
  • You are responsible for all content posted and activity that occurs under your account.
  • You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.

5. Payment and Refunds

  • Paid Subscriptions: The Service is billed in advance on a monthly or annual basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.
  • Taxes: All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. You shall be responsible for payment of all such taxes.

6. Service Level Agreement (SLA)

This section applies ONLY to customers on Paid Subscriptions (Starter, Advanced and Enterprise plans).

6.1 Uptime Guarantee

We guarantee that the Vigilance Signal web interface and API will be operational and available to Customer at least 99.5% of the time in any calendar month.

6.2 Definitions

  • "Downtime" means that the Vigilance Signal application returns an HTTP status code that is not 200 (OK) for more than two consecutive checks. Downtime is measured by our 3rd party uptime monitor.
  • "Monthly Uptime Percentage" means the total number of minutes in a calendar month minus the number of minutes of Downtime suffered in that month, divided by the total number of minutes in that month.

6.3 Service Credits

If we do not meet the Guarantee, and you meet your obligations, you will be eligible for the following Service Credits:

< 99.5% - >= 99.0% 15%
< 99.0% - >= 97.5% 25%
< 97.5% - >= 95.0% 50%
< 95.0% 100%

6.4 Credit Request Procedures

To receive a Service Credit, you must submit a claim by emailing support@vigilancesignal.com within thirty (30) days of the end of the billing cycle in which the Downtime occurred. Failure to provide the claim within this timeline will forfeit your right to receive a Service Credit.

6.5 Exclusions

The SLA does not apply to:

  • Downtime caused by factors outside of our reasonable control (e.g., carrier network failures, natural disasters).
  • Downtime that resulted from your equipment, software, or other configuration.
  • Planned maintenance windows (for which we provide at least 24 hours notice).

7. Cancellation and Termination

  • You are solely responsible for properly canceling your account. You can cancel your account at any time by clicking on the Account Settings link in the dashboard.
  • All of your Content will be immediately inaccessible from the Service upon cancellation.
  • Vigilance Signal, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service for any reason at any time.

8. Limitation of Liability

You expressly understand and agree that Vigilance Signal shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses resulting from the use or the inability to use the service.

9. Governing Law

These Terms shall be governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be resolved in the courts of Johannesburg.
